The board of directors is the company’s top management. It is therefore important that all necessary qualifications are represented – and it is also crucial that the work of the board functions as a constructive, effective forum with committed interaction between the board of directors and the management.
This course will strengthen your knowledge of the fundamental legal, financial and accounting aspects in relation to the work of the board.
Participants
“Work of the Board” is a basic course aimed primarily at staff-elected board members. Board members who have been elected at annual general meetings or through ownership can also benefit from taking the course. The course is also directed at members of management who participate in board meetings.
As a member of the board of directors, you are part of the company’s top management. It is therefore crucial that you have the professional and cooperative tools to make the work of the board more efficient.

Course content
Obligations, responsibilities and rights are equal for all members of a board, regardless of whether you are a new managing director who has been selected for the board of directors at the AGM, were elected by the staff, or are a board member due to ownership. It is therefore important to have some knowledge about the legal, financial and accounting aspects of the work of the board.

- The Companies Act’s most important regulations
- Election and composition of the board
- The division of tasks between the board and the management
- The board’s working method
- Internal and external communication, including the regulations for duty of confidentiality
- The board’s liability for damages, including in emergency situations
- Corporate Governance
The economist will go over
- Comprehension of accounts
- Liquidity
- Reading and interpretation of the annual accounts
- Key figures
- Danger signals in the accounts
- Investment planning
- New methods of keeping accounts
The auditor will go over
- The board’s responsibilities and remit
- Communication
- The board’s responsibility for financial control
- Auditor’s certificate
Learning method
Dialogue-based facilitation with presentations, discussion and case-story exercises.
Lead Facilitator
Business economist Jan Nørgaard acts as the lead facilitator. He is present during the entire course – and links together the sub-elements.
